Terms and Conditions

The following TSP Live Event Attendee Terms and Conditions (the “Terms & Conditions”) apply to all events held by TSP Events LLC under the brands “TSP Live” and “TSP Game Plan” (“TSP” “we” “our” or “us”). Prior to your registration or transaction, you must acknowledge and accept the Terms & Conditions contained herein. Should you not wish to accept the Terms & Conditions you should not register or complete the transaction.

Your submitting a registration, purchasing a ticket, accepting a ticket, or accepting products or services that are related to our events will be considered affirmation of your acceptance of these Terms & Conditions.

TSP reserves the right to change, amend, add, or remove any of the terms or conditions contained in this Agreement in its sole discretion and without prior notice. If one or more of the conditions outlined in these Terms & Conditions should become invalid, the remaining terms will continue to be valid and apply. These Terms & Conditions apply to all event participants (attendees, speakers, sponsors, exhibitors) and take precedence over all other agreements. 

The views expressed by any event attendee, speaker, exhibitor, or sponsor are not necessarily those of TSP. All attendees, speakers, exhibitors, and sponsors are solely responsible for the content, presentations, marketing collateral, and/or advertising presented on behalf of their respective corporations or themselves as individuals.  

When eligible, ticket transfer requests must be submitted no later than 30 days prior to the event date. Ticket transfer requests must adhere to the following instructions:

Ticket transfer requests are typically handled within five (5) business days of receiving a valid request and acceptance of our terms. Once we verify all items have been accepted, we will send both parties confirmation of the transfer.   

Once the Transferee accepts a ticket transfer, a new ticket is issued to the Transferee and the sender's tickets are invalid. If a ticket has been transferred multiple times, only the ticket from the last transfer will be valid for event entry – all previous tickets will be invalidated.

The sender can modify or cancel a ticket transfer before the Transferee accepts the transfer – not after.

Lawful ticket resales are subject to the transfer limitations as described above. Unlawful resale (or attempted resale), counterfeit, or copies of tickets are grounds for seizure and cancellation without compensation. You are responsible for complying with all applicable ticket resale laws. In addition, TSP reserves the right to restrict or deny ticket purchasing privileges to anyone that we determine to be, or has been, in violation of our policies. Because we do not guarantee the authenticity of tickets purchased from any non-authorized third party reseller (such as brokers or individuals), we recommend that you purchase tickets directly through us, to ensure ticket authenticity.

Tickets may not be used for advertising, promotions, contests or sweepstakes, unless formal written authorization is given by us.

You and your belongings may be searched upon entry or reentry into our events. You consent to such searches and waive any related claims against us or our affiliates, employees, owners, or any third parties acting on our behalf that may arise. If you elect not to consent to such searches, you may be denied entry to the event without refund or other compensation. Under certain facility rules, certain items may not be brought into the premises, including without limitation, firearms, alcohol, drugs, controlled substances, cameras, recording devices, laser pointers, strobe lights, irritants (e.g., artificial noisemakers), packages, and containers.

Except when mandated by law, TSP does not provide refunds for postponed, rescheduled, relocated, or converted events, partial performances, or venue, date, lineup, or time changes.

TSP reserves the right to convert any live event to a virtual event, at our own sole discretion, and without further compensation to you. We therefore recommend that you purchase refundable tickets and hotel accommodations, and travel insurance with adequate coverage when preparing to attend our live events. In situations where the live event has been converted to a virtual event, we will provide at least 30 days’ notice to you using the email address we have for you on file.

TSP reserves the right to postpone, relocate, or reschedule any event, at our own sole discretion, and without further compensation to you. If an event is postponed, relocated, or rescheduled, you may use the tickets to attend the postponed, relocated, or rescheduled event either in person or virtually if virtual attendance is available.

In the rare circumstance that an event is canceled, we will issue full refunds to the original ticket purchasers only.

Unless the event has been canceled in accordance with the cancelation section above, refunds will not be issued after a ticket has been purchased. TSP may occasionally offer tickets at a discount after the original ticket release date and will not refund the difference between the original price and the sale price.

You agree that you will not attempt to evade, avoid, or circumvent any refund prohibitions in any manner with regard to tickets you purchased. Without limiting the generality of the foregoing, you will not dispute or otherwise seek a "chargeback" from the company whose credit card you used to purchase tickets from us. Should you do so, your tickets are subject to immediate cancellation, and we may, in our sole discretion, refuse to honor pending and future ticket purchases made from all credit card accounts or online accounts on which such chargebacks have been made, and may prohibit future purchases from all persons in whose name the credit card accounts exist and any person who accesses any associated online account or credit card or who otherwise breaches this provision.

TSP is committed to data privacy and protecting your personal information. Information on how TSP collects, processes, and uses your data is included in the TSP Privacy Policy which is hereby incorporated into these Terms & Conditions. Additionally, by submitting your email address during the event registration process, you agree that TSP and its event partners may send you event-related information. A valid email address is required for all registrations.

TSP uses the personal data you provide in this registration for administering your participation in this event. This may include information about the event’s content, event logistics, payment, updates, and additional information related to the event.

TSP may disclose your personal data to third party service providers engaged by TSP to assist in the conduct of the event (e.g. venue, mobile application provider, etc.). Information you provide when registering for or participating in an event managed or co-sponsored by parties other than or in addition to TSP may be shared with those parties, and the treatment of such information is further subject to the privacy policies of those parties. Except as described herein, TSP will not disclose your personal data to any other third party without your consent except where required to do so by law.

TSP prohibits discrimination, harassment, and bullying against any person for any reason—for example, because of age, ancestry, color, disability or handicap, national origin, race, religion, gender, sexual or affectional orientation, gender identity, appearance, matriculation, political affiliation, marital status, veteran status, or any other characteristic protected by law.

By accepting these terms you grant us and our respective licensees, successors, heirs and assigns, the irrevocable, perpetual, world-wide, and unrestricted right and permission to take, use, re-use, publish, modify, and republish the images, videos, and testimonials taken of you during our events for any business purpose that we, in our sole discretion, deem as legitimate, without further compensation to you. This use includes, but is not limited to, the use of this content, in whole or in part, or composite or distorted, in character or form, without restriction as to changes or alterations.

By accepting these Terms & Conditions, you explicitly agree that binding arbitration on an individual basis is the exclusive mechanism by which disputes and legal claims will be handled.

For any dispute, claim or controversy under $25,000 in value arising out of or relating to this agreement, or the breach thereof, Company may demand that any such dispute be resolved by arbitration administered by FairClaims (www.fairclaims.com) in accordance with its Arbitration Rules & Procedures effective at the time a claim is made, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

For any dispute, claim or controversy at least $25,000 in value arising out of or relating to this agreement, or the breach thereof, we may demand that any such dispute be resolved by arbitration before one (1) arbitrator, administered by either JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the Expedited Procedures in those Rules, or by the American Arbitration Association in accordance with its Commercial Arbitration Rules, whichever we choose.  

Nothing in this Agreement shall prevent TSP from applying to and obtaining from any court having jurisdiction a temporary injunction, preliminary injunction, permanent injunction or other equitable relief available to safeguard and protect our interests and prevent immediate loss. We shall also be entitled to file in any court having jurisdiction any suit necessary to enforce a decision or award resulting from any arbitration or other proceeding.

Without our express written permission, you may not use, or permit the use of, any of TSP’s intellectual property, including, but not limited to, our trademarks, copyrighted materials, patents, trade secrets, and proprietary information. Trademarks shall include any word, name, symbol, color, designation or device or any combination thereof that functions as a source identifier of TSP Events LLC, Traffic Sales & Profit, or TSP, including any trademark, trade dress, service mark, trade name, logo, brand mark, brand name, design mark, business name, business mark, or domain name that belongs to us, whether or not any of these items are registered. 

Neither TSP nor our assigns, employees, owners, agents, or other third-parties acting on its behalf will be liable or responsible to you, nor be deemed to have defaulted or breached these Terms & Conditions, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national, state, or local emergency, revolution, insurrection, epidemics, pandemics, lockouts, strikes or other labor disputes (whether or not relating to our workforce), restraints or delays affecting carriers, or inability or delays in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdowns, or power outages.

REGARDLESS OF THE PREVIOUS CLAUSES, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES IN DISPUTE NOT TO EXCEED THE TOTAL FEES WHICH YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR (B) $500.

The UK Black Business Week Giveaway is administered by TSP Events, LLC. The Giveaway will grant one lucky winner the opportunity to attend a UK Black Business Week Event from Thursday, October 17th - to Saturday, October 19th, 2024 in London, England. Giveaway tickets will be available until March 31, 2024 at 11:59 PM ET, after which the winning ticket (and winner) will be randomly selected. Please note, this Giveaway only covers the event ticket, airfare, and hotel accommodations and does not cover meal expenses, ground transportation, airport fees, baggage fees or any other travel or personal fees that may be incurred while traveling (to and from) and attending the conference.

Agreement to Official Rules. Participation in this Giveaway constitutes Entrant’s full and unconditional agreement to these Official Rules and the Administrator’s decisions, which are final and binding in all matters related to this Giveaway. Winning a Prize is contingent upon fulfilling all requirements set forth in these Official Rules.

Submission Entry Period. Entrants may make submissions using the guidelines outlined in How to Enter (“Entry”) by 11:59 PM ET on March 31, 2024.

a. Submissions: To enter the Giveaway, a person must hold at least one Giveaway ticket, but may enter the Giveaway with multiple tickets. A ticket earned by an ineligible person is void, and cannot be a winning ticket.

Giveaway tickets can be earned in two different ways. See the rules below to understand how you can earn additional Giveaway tickets.

- 1 ticket is awarded for every person that purchases a 2024 TSP Live General Admission ticket before 11:59 PM EST on March 31, 2024. If you purchase multiple tickets, you will be awarded a ticket for each General Admission ticket that you purchase.

- 2 tickets are awarded for every person that purchases a 2024 TSP Live VIP ticket before 11:59 PM EST on March 31, 2024. If you purchase multiple tickets, you will be awarded 2 tickets for each VIP ticket that you purchased.

Giveaway tickets are virtual and will not be mailed or emailed to entrants. The receipt that you receive for your purchase of the 2024 TSP Live Tickets can be used as a confirmation of your entry into the Giveaway.

Giveaway tickets are only awarded to the original person that purchased the TSP Live Ticket(s) from TSP Events, LLC. No transferred TSP Game Plan tickets will be awarded Giveaway tickets (i,e. - People that have received a transferred ticket are ineligible to participate in the Giveaway.)

b. Entry: By entering you agree that conform to the Official Rules as provided below (collectively, the “Official Rules”) and that the Administrator may disqualify you from the Giveaway if it believes, in its sole discretion that your entry fails to conform to the Official Rules. Tickets must be purchased during the Entry Period.

 (The approximate retail value of the entire prize pack or "ARV": $4100)

a. All Prizes are non-transferable, with no cash redemption, equivalents or substitutions except at Administrator’s sole and absolute discretion. All Prize details not specified in these Official Rules will be determined in Sponsor’s sole and absolute discretion. Prize details and availability are subject to change, and in the event that Sponsor is unable to provide a Winner with their Prize, the Sponsor may elect, to provide such Winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value.

b. Prizes will be awarded using a random drawing. Winners will be notified via email of their winnings. Winners must respond in writing within 48 hours and show proof of a valid passport that is eligible to travel to the destination. If the winner does not respond, an alternate winner will be chosen from valid entries.

c. Prizes will be delivered electronically. TSP Events, LLC will make every effort to ensure your prizes are delivered but are not liable for receipt after 90 days.

d. Winner is responsible for any taxes on prizes awarded.

e. Odds of winning are based on the number of tickets awarded during the Entry Period.

f. Only one prize per person and per household will be awarded. Gift cards and gift certificates are subject to the terms and conditions of the issuer. Prizes cannot be transferred, redeemed for cash or substituted by the winner.

Entrant’s Personal Information. Information collected from Entrants is subject to Administrator’s Privacy Policy By entering the giveaway, you accept the Administrator’s Privacy Policy: https://www.tsplivetickets.com/tsp-live-privacy-policy.

For good and adequate consideration, which your signature acknowledges you have received, you hereby grant, release, and quit claim to the Event Organizer and the Event Sponsors the right and authority to use, reproduce, and distribute your photograph, likeness, recorded voice, or videotape-filmed appearances (“the Material”) for promotional or advertising purposes or programs as the Event Organizer and/or Event Sponsors, in their sole discretion, shall deem appropriate. Further, you grant the Event Sponsors affiliated with the Event and the Event Organizer permission to use your postal mailing address and/or electronic mail address to disseminate future mailings related to events and promotions hosted by TSP Events. 

By receipt of any prize, winner agrees to release and hold harmless TSP Events, LLC and their respective subsidiary, and affiliate companies, supplies, distributors, and advertising/promotion agencies, as well as each such company's officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Giveaway or receipt, use, or misuse of any prize.

You covenant that you shall not now or at any time in the future, directly or indirectly commence or prosecute any action, suit, or other proceedings against the Administrator and their officers, directors, employees, agents, licensees, subsidiaries, consultants, independent contractors, and affiliates arising out of or relating to the actions, claims and demands hereby waived, released, or discharged by you.

By entering this Giveaway, you hereby grant, release, and quit claim to the Administrator the right and authority to use, reproduce, and distribute your photograph, likeness, recorded voice, or videotape-filmed appearances (“the Material”) for promotional or advertising purposes or programs as the Administrator, in their sole discretion, shall deem appropriate.

Except where prohibited, participation in the Giveaway constitutes winner’s consent to TSP Events, LLC and its agents use of winner’s name, likeness, photograph, voice, opinion, and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.The winner’s name will be announced publicly unless the winner requests in writing that they wish their name to be kept private.

TSP Events, LLC reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, or other factor beyond the TSP Events, LLC’s reasonable control impairs the integrity or proper functioning of the Giveaway, as determined by TSP Events, LLC in its sole discretion. In such event, TSP Events, LLC reserves the right to award the prize at random from among eligible entries received up to the time of the impairment. TSP Events, LLC reserves the right, in its sole discretion to disqualify any individual, without compensation, it finds to be tampering with the entry process or the operation of the Giveaway or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law, and, should such an attempt be made, TSP Events, LLC reserves the right to seek damages from any such person to the fullest extent permitted by law. TSP Events, LLC’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

The Released Parties are not liable for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Giveaway; (2) unauthorized human intervention in any part of the entry process of the Giveaway; (3) technical or human error which may occur in the administration of the Giveaway or the processing of entries; or (4) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Giveaway or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Giveaway.

Except where prohibited, entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court located in Atlanta, Georgia (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorney’s fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant claims all rights to claim, indirect, punitive, incidental, and consequential damages and any other damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and TSP Events, LLC in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of Georgia, without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia.
